Introduction

R.R. Donnelley & Sons Company (“RR Donnelley”) tries to assist covered employees who involuntarily lose their jobs as a result of a workforce reduction or job elimination. RR Donnelley does so by providing a benefit through the Separation Pay Plan (the “Plan”). Generally, benefits provided by this Plan are intended to assist in bridging periods of employment following a qualified separation.

The Plan provides you with a specified number of weeks of regular separation pay or supplemental unemployment pay, based on your length of continuous service (see the “How Weekly Base Pay and Continuous Service Are Determined” section). Under certain circumstances, RR Donnelley, in its discretion, may award non-regular separation pay without regard to your continuous service. Also, the Plan provides a specified number of COBRA premium subsidy payments, again based on your length of continuous service.

This Summary Plan Description (SPD) includes updates for the Plan changes through January 1, 2006. It explains who is (or is not) eligible for coverage, when benefits are provided, the amount of benefits, and various administrative provisions. You should read this information now to familiarize yourself with the Plan, then keep it for future reference. If you are married, you should also share it with your spouse.

Regardless of when your employment with RR Donnelley or any of its participating subsidiaries and/or participating employers terminates, the claims administration and other administrative provisions summarized in this SPD apply to you, your spouse, and other beneficiaries. However, the Plan in effect on the date of your termination of employment, as summarized in the SPD at that time, determines:

Whether you were eligible for coverage and benefits; and if so

When benefits are provided; and

The amount of benefits.

If you are reemployed by RR Donnelley or any of its participating subsidiaries and/or participating employers on or after July 1, 2005, the terms of the Plan as summarized in this SPD apply for purposes of determining your benefits upon reemployment or your subsequent termination of employment.

We have tried to make this SPD as complete, accurate, and up-to-date as possible. However, this is a summary of the legal plan document. If the plan document is more specific or there is any discrepancy between this SPD and the legal plan document, the plan document will always govern. For example, if you have specific questions concerning whether a job loss is a “qualified separation” under this Plan, you should request a copy of the Plan document.

In addition, nothing in this SPD should be interpreted as an employment contract, nor does it create an entitlement to any benefit from your employer. This summary is merely a description of the benefits offered to covered employees. RR Donnelley reserves the right to change or terminate the Plan and benefits payable under the Plan.
